Terms of Sale
1.Minimum Order requirements:
1.1 Minimum Order Quantity: To qualify for wholesale pricing, the Buyer must place a minimum order of £200 ex VAT per transaction. Orders below this minimum will not be processed at wholesale rates and may be subject to additional fees or different terms.
1.2 Order Amendments: Once an order is placed, any amendments that affect the minimum order quantity may result in the order being adjusted to meet the minimum requirement or cancelled, at the Seller's (Mustard and Gray Ltd) discretion.
2. Carriage Paid Limits
2.1 Carriage Paid Threshold: The Seller will cover the cost of carriage (shipping) for orders that meet or exceed a total value of £250 before taxes and other charges within Mainland UK*. Orders below this threshold will be subject to standard shipping charges.

International Shipping will be quoted upon order placement.
2.2 Shipping Charges: For orders below the carriage-paid limit, shipping costs will be calculated and added to the invoice. The Buyer will be responsible for these shipping charges unless otherwise agreed upon in writing.
2.3 Shipping Method: The Seller reserves the right to select the shipping method and carrier. If the Buyer requests a specific shipping method or carrier, additional charges may apply.
3.Payment Terms
3.1 First Order Payment: For the first order placed by the Buyer, payment is required in full at the time of order placement. The Buyer must provide payment details and ensure that the payment is processed before the order is confirmed.
3.2 Subsequent Orders Payment: For all subsequent orders, payment is due within 30 days from the date of invoice*. The Buyer agrees to remit payment within this period to avoid any late fees or penalties.
*Orders to the value of £1000 or above ex VAT require a deposit of 50% upon order confirmation.
4. Late Payment
4.1 Late Fees: Payments not received within the specified 30-day period will incur a late fee. The late fee is calculated as 5% of the outstanding balance, accruing monthly.
4.2 Suspension of Credit: If payment is not received within 90 days after the due date, the Seller reserves the right to suspend any further orders and/or require prepayment for future transactions.
5. Payment Methods
5.1 Accepted Methods: Payments can be made via bank transfer or credit card payment. The Buyer is responsible for any transaction fees associated with the payment method chosen.
6. Order Processing
6.1 Confirmation of Orders: All orders are subject to confirmation by the Seller. The Seller will confirm receipt and acceptance of the order via email or other written communication within 5 working days. The Seller reserves the right to cancel or modify orders if payment is not received as per the terms outlined above.
6.2 Delivery Times: Estimated delivery times will be provided upon order confirmation. While the Seller aims to meet these estimates, they are not guaranteed and may vary based on factors beyond the Seller’s control.
7. Additional Charges
7.1 Handling Fees: The Seller may apply handling fees for special requirements, packaging, or other services not included in the standard order processing and shipping.
7.2 Customs and Duties: For international orders, the Buyer is responsible for any customs duties, taxes, or other fees that may apply upon import.
8. Refunds and Returns
8.1 Refund Policy: All sales are final unless otherwise agreed upon in writing. The Seller will consider returns and refunds on a case-by-case basis according to their return policy, which is available upon request.
9. Resale Restrictions
9.1 Authorized Channels: Products purchased under these wholesale terms are to be resold only through channels and platforms approved by the Seller. The Buyer agrees to adhere to these approved channels and not to sell products through unauthorized or unapproved methods.
9.2 Territorial Restrictions: Resale of products is restricted to the geographic area specified by the Seller. The Buyer must obtain prior written consent from the Seller before selling products outside this designated area.
9.3 Branding and Advertising: The Buyer agrees to use the Seller’s trademarks, logos, and branding materials in accordance with the Seller’s guidelines. Unauthorized use or alteration of branding and promotional materials is prohibited.
10. Intellectual Property
10.1 Protection of Intellectual Property: The Buyer acknowledges that the Seller’s intellectual property, including trademarks, patents, and copyrights, is the exclusive property of the Seller. The Buyer agrees not to infringe upon or misappropriate these intellectual property rights.
10.2 Use of Intellectual Property: The Buyer is granted a limited, non-exclusive, non-transferable license to use the Seller’s intellectual property solely for the purpose of reselling the Seller’s products in accordance with these terms and conditions.
11. Termination and Enforcement
11.1 Breach of Policy: The Seller reserves the right to terminate the Buyer’s wholesale account and refuse future orders if the Buyer is found to be in breach of this resale policy. Termination may occur with or without prior notice.
11.2 Enforcement: The Seller may take legal action to enforce the terms of this resale policy, including seeking damages or injunctive relief, in the event of a breach.
12.Amendments
12.1 Changes to Terms: The Seller reserves the right to amend these terms and conditions at any time. Any changes will be communicated to the Buyer, and continued use of the Seller’s services constitutes acceptance of the amended terms.
